Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sapient Dynamics LLC ("Sapient Dynamics," "we," "us," or "our"). By accessing or using our website, platforms, or any services we offer, you agree to be bound by these Terms in their entirety. If you do not agree, you must discontinue use of our services immediately.

We may update these Terms from time to time. Continued use of our services after such changes constitutes your acceptance of the revised Terms.

Sapient Dynamics builds domain-specific AI platforms that augment human expertise with computational intelligence. Our primary product is the Struxen platform, an integrated suite of construction intelligence tools. The Struxen platform includes the following components:

• STRUX — automated document analysis and data extraction from construction documents
• BuildSense — trade-specific AI agents that provide specialized construction knowledge
• NEXUS — a knowledge graph connecting project data, documents, and relationships
• Vantage — spatial analysis tools for site and building visualization
• Sentinel — conflict detection across project documents and specifications
• NOVAN — preconstruction intelligence for early-stage project evaluation
• CrewSense — workforce planning and crew allocation optimization
• ScheduleSense — schedule analysis and optimization tools
• RiskSense — risk identification and assessment across project phases
• Systems Explorer — building systems visualization and analysis

We may add, modify, or discontinue specific features or components at our discretion, with reasonable notice where applicable.

Certain features of our services require you to create an account. When registering, you agree to provide accurate, current, and complete information and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately at support@sapientdynamics.com if you suspect unauthorized access to your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

You agree to use our services only for lawful purposes and in accordance with these Terms. You shall not:

• Violate any applicable local, state, national, or international law or regulation
• Attempt to gain unauthorized access to our systems, networks, or other users' accounts
• Reverse engineer, decompile, or disassemble any part of our platform or its underlying technology
• Use automated tools (bots, scrapers, or crawlers) to access our services without prior written consent
• Transmit malicious code, viruses, or any content designed to disrupt our services
• Resell, sublicense, or redistribute our services without explicit authorization from Sapient Dynamics
• Use our services in any way that could harm, disable, or impair their operation or interfere with other users' access

All aspects of the Sapient Dynamics platform, including but not limited to software, algorithms, interfaces, designs, documentation, trademarks, and brand assets, are the exclusive intellectual property of Sapient Dynamics LLC and are protected by applicable copyright, trademark, and other intellectual property laws.

You retain full ownership of any data, documents, and content you submit to our services. By uploading content, you grant Sapient Dynamics a non-exclusive, worldwide, royalty-free license to use, process, and display that content solely for the purpose of delivering our services to you. This license terminates when you delete your content or close your account.

Our platforms utilize artificial intelligence and machine learning technologies to analyze data and generate insights. You acknowledge and agree that:

• AI-generated insights, recommendations, and analysis are informational only and should not be treated as a substitute for professional judgment
• All outputs should be independently verified by qualified professionals before being relied upon for decision-making
• We do not guarantee the accuracy, completeness, or reliability of any AI-generated content
• Your project data is never used to train our AI models; it is processed exclusively to generate results within your account

Our services are designed to support and augment construction professionals, not to replace them. Sapient Dynamics does not provide professional engineering, architecture, or construction management services. Our tools do not constitute professional advice, and their outputs should not be used as a substitute for the services of licensed engineers, architects, or other qualified construction professionals.

Users are solely responsible for verifying all information, recommendations, and analyses generated by our platform before applying them to any construction project. Sapient Dynamics assumes no liability for decisions made based on outputs from our services.

Access to certain features of our platform requires a paid subscription. Payment processing is handled by Paddle.com Market Limited, which serves as our merchant of record. By subscribing, you agree to the following:

• Subscription fees are billed automatically on a recurring basis (monthly or annually, depending on the plan selected)
• Fees are non-refundable except where required by applicable law or as otherwise stated in a specific promotional offer
• We will provide at least 30 days' advance notice before implementing any changes to subscription pricing
• You may cancel your subscription at any time; access will continue through the end of your current billing period

All payment disputes should be directed to Paddle.com Market Limited in the first instance, or you may contact us for assistance.

Our services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, Sapient Dynamics disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that our services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

To the maximum extent permitted by applicable law, Sapient Dynamics LLC, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our services.

In no event shall our total aggregate liability for all claims related to the services exceed the amount you paid to Sapient Dynamics during the twelve (12) months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Sapient Dynamics LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any content you submit through our platform.

We reserve the right to suspend or terminate your access to our services at any time, with or without cause and with or without notice, if we reasonably believe you have violated these Terms or engaged in conduct that could harm Sapient Dynamics, our users, or third parties.

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use our services ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will remain in effect.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Delaware. Judgment on the award may be entered in any court of competent jurisdiction.

You agree that any arbitration will be conducted on an individual basis and not as a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than through arbitration, both parties waive any right to a jury trial.

We may revise these Terms at any time by posting the updated version on our website. Material changes will be communicated through a notice on our site or via email. The "Last updated" date at the top of this page indicates when these Terms were most recently revised. Your continued use of our services after any changes take effect constitutes acceptance of the new Terms.
